1. General Terms

1.1 These terms and conditions apply to the sale, installation, and maintenance of products provided by Mombasa Canvas Ltd.
1.2 By purchasing or installing a shade sail from Mombasa Canvas Ltd, the client agrees to these terms and conditions.

2. Quotations and Orders

2.1 All quotations provided by Mombasa Canvas Ltd are valid for 30 days unless otherwise stated.
2.2 Orders are considered confirmed upon receipt of a signed quotation or purchase order and payment of any required deposit.

3. Payment Terms

3.1 A deposit of 50% of the total quoted price is required upon order confirmation.
3.2 The balance must be paid upon delivery or installation unless otherwise agreed in writing.
3.3 In certain cases, full payment may be required before delivery; this will be communicated and agreed upon at the time of order confirmation.
3.4 Late payments may incur interest at a rate of 2% per month.

4. Installation

4.1 Installation timelines are subject to site readiness and weather conditions.
4.2 Clients must ensure the site is accessible and free of obstacles to facilitate the installation process.
4.3 Power supply required for installation (e.g., for tools or equipment) must be provided by the client unless otherwise agreed in writing prior to order confirmation are made for Mombasa Canvas Ltd to supply a generator at an additional cost.
4.4 Any additional costs incurred due to unforeseen site conditions will be billed to the client.

5. Warranty

5.1 Shade sails are covered by a 5-year limited warranty on color fading and a 1-year limited warranty on workmanship.
5.2 The warranty does not cover damage caused by:

• Misuse & mishandling. 
• Exposure to extreme weather events, including but not limited to heavy rainfall, strong winds, storms, hail, or prolonged exposure to high UV radiation. 
• Failure to follow maintenance guidelines.

6. Maintenance Obligations

6.1 Proper maintenance is essential for the longevity of shade sails. Clients are responsible for ensuring regular cleaning and tension adjustments.
6.2 Mombasa Canvas Ltd offers maintenance services at an additional cost.

7. Cancellations and Returns

7.1 Orders can be canceled before manufacturing begins, subject to a 10% administrative fee.
7.2 Custom-made shade sails are non-refundable unless defective.

8. Liability

8.1 Mombasa Canvas Ltd shall not be held liable for:

• Damage caused by third-party interference or unauthorized modifications. 
• Loss or injury resulting from improper use of the product. 
• Loss or injury caused by adverse weather conditions, including but not limited to heavy rainfall, strong winds, or storms.

9. Force Majeure

9.1 Mombasa Canvas Ltd shall not be responsible for delays or inability to fulfill contractual obligations due to circumstances beyond its control, such as natural disasters, strikes, or material shortages.

10. Governing Law
10.1 These terms and conditions are governed by the laws of Kenya. Any disputes shall be resolved in Kenyan courts.
